Competitive Procedure for the sale of the company of the company Arredobagno 19 S.r.l. in Liquidation as exactly identified in the Sales Regulations (Annex 1) and in the related Attachments
an integral part of the Sales Regulations and attached to the announcement form.
the company located in the municipality of Asciano, via Toscana n. 33, and engaged in the production and marketing of bathroom accessories and furnishings, accessories for billiards and coffee dispensers, is made up of:
- all the equipment necessary for the operation of the company, better described in the attached report
- warehouse of raw materials and semi-finished products used in the company production process, see attached appraisal
- the technical documents, technologies, drawings, models, samples, prototypes, projects, production instructions, related realizations - created or in the process of being created - and other know-how, used (or susceptible of potential use) in the exercise of the Company, unless they belong to third parties
- the "Capannoli" and "Tusca" trademarks and goodwill, as best resulting from the attached appraisal extract
- employment relationships to which Capannoli S.r.l. took over, pursuant to art. 2112 of the civil code and following the union consultation procedures provided for by art. 47 of Law no. 428 of 1990;
- the agency relationships to which Capannoli S.r.l. it took over as a result of the Company lease contract;
- all other contracts pending at the time of completion of the Transfer Agreement which will be the responsibility and responsibility of the Participant to verify by accessing the Data Room, except for those that are strictly personal in accordance with art. 2558 of the Italian Civil Code
- The takeover of the above contracts refers to those still pending at the time of the completion of the Transfer Contract. It will be the responsibility and responsibility of the Participant to verify the relevance by accessing the Data Room. Likewise, the Participant will at his own expense identify technical documents, technologies etc. which can be transferred.
The business unit does not include the property
The compensation (Buyer's Premium) due to the subject specialized in sales pursuant to Article 107 of the Italian Law is charged to the Buyer. Gobid International Auction Group S.r.l.
The lots are sold seen and liked in the state in which they are found. Viewing is recommended.
