■ THE OPPORTUNITY

Sale of the Productive Unit of a European company in the last-mile electric mobility sector, operational: newly built, company-owned factory in Spain, proprietary EU-approved product range and a brand recognized in the sector.

Transaction in the pre-pack insolvency phase (arts. 224 ter et seq. TRLC), under the supervision of the expert appointed by the competent Commercial Court.

■ HOW IT IS TRANSFERRED — PERIMETER CONFIGURABLE BY THE BIDDER

The transfer is made free of the group’s liabilities: the bidder decides what it assumes in its offer — the employees it takes on and the encumbrances on the assets it includes, with the mortgage assumable or cancellable with the price.

All of this is subject to the Expert’s acceptance and judicial approval.

■ DATA ROOM (access upon prior signing of an NDA)

• Company profile and procedure documentation (order appointing the expert)

• Economic-financial information: audited annual accounts for the last three financial years, consolidated financial statements, trial balances and inventory of assets and rights

• Industrial property portfolio: patents, utility models, designs and trademarks

• Real estate assets: land registry excerpt and information on liens/encumbrances on the industrial building

• Tax, labor and creditor documentation: certificates from the AEAT and TGSS, creditor list, staff details and list of assets, rights and contracts necessary for continuity

Access is individual, confidential and non-transferable. The documentation is for informational purposes only: in all cases, each bidder’s due diligence and the court decision defining the final perimeter of the Productive Unit shall prevail.

■ HOW TO PARTICIPATE

1. Register at www.gobid.es and request information about the sale.

2. Sign the NDA: the company’s identity will be disclosed and you will access the data room — more than 400 documents: audited accounts, valued inventories, industrial property title by title, registry, labor and contract documentation. Individual, confidential, tiered access.

3. Analyze and visit: due diligence on the documentation and visits to the facilities by appointment.

4. Submit your binding offer with the chosen perimeter and the required deposit, before 22 September 2026.

5. Selection and award: the Expert will evaluate the offers — with a possible competitive improvement phase among bidders — and submit the best one to the Court for approval.
