CALL FOR ALTERNATIVE BINDING OFFERS TO ACQUIRE THE GRUPO SCOOBIC PRODUCTIVE UNIT (art. 224 bis TRLC)
■ THE PROCEDURE
The companies of the Scoobic Group are subject to joint voluntary insolvency proceedings, declared by the Commercial Division of Seville Court of Instance No. 3, with the liquidation phase open. The sale of the Productive Unit is being conducted under art. 224 bis TRLC, under the supervision of the insolvency administrator and with judicial authorization.
An initial binding offer has been submitted to the Court together with the insolvency petition. The Court has opened a period during which any interested party may submit an alternative binding offer. The identity of the initial bidder and the contents of its offer are available to verified interested parties in the data room.
■ THE OPPORTUNITY
Joint sale of the Scoobic Group Productive Unit, a Spanish manufacturer of last-mile electric vehicles, as a going concern: a newly built, company-owned factory in Utrera (Seville), an EU-approved product range and a recognized brand in the sector.
■ WHAT IS INCLUDED
• Newly built, company-owned factory in Utrera (Seville)
• Machinery, assembly lines and industrial facilities
• Proprietary range of approved electric vehicles (several models) and company-owned fleet
• International industrial property portfolio: patents registered in Europe, the US and China, utility models, industrial designs and trademarks
• Inventory, active customer portfolio and contracts required for business continuity
• Workforce of 35 employees with industrial, engineering and commercial know-how
■ TRANSFER TERMS — SCOPE CONFIGURABLE BY THE BIDDER
The transfer is carried out in accordance with the TRLC, free of liabilities except for those expressly assumed by the bidder in its offer — the employees it takes on and the encumbrances on the assets it includes, with the mortgage on the property capable of being assumed or discharged using the sale proceeds. All subject to the insolvency administrator’s report and judicial authorization.
■ DATA ROOM (access subject to signing an NDA and verification)
• Court order and initial binding offer with supporting documentation
• Economic and financial information: audited annual accounts, financial statements and appraised inventories
• Industrial property details for each title, property registration documents and encumbrances
• Tax, employment and creditor documentation, and contracts required for business continuity
Access is individual, confidential and non-transferable. Each bidder is responsible for conducting its own due diligence, and the court order delimiting the final scope shall prevail.

2. Sign the NDA for this process and access the data room (including those who signed an NDA during the previous phase).
