Deposit
 
To participate in the Auction, a security deposit of EUR 750,00 is required.

Lots with an estimated value equal to or greater than EUR 9,000.00 require the payment of a specific deposit indicated in the respective lot sheets. Payment of a specific lot deposit also unlocks authorization for the general security deposit lots (basic deposit).

Lot 0 requires a deposit of EUR 7.125,00.

The deposit must be received before the end of the Auction.
Only upon receipt of the deposit will the user be authorized to participate in the Auction.
To expedite participation, it is recommended to send proof of payment to info@gobid.es

Users who participated in the Auction but did not win any lot will receive their deposit back within 20 working days from the end of the auction, without interest.
If, after placing the deposit and winning the lot, the bidder does not finalize the purchase by paying the sale price and the Buyer’s Premium, the deposit will be withheld.
In this case, the lot will be awarded to the next highest bidder who submitted a bid equal to or above the reserve price.

Encumbrances and Liens

The sale will take place free of liens and encumbrances, except for legal domain limitations, legal obligations, and urban charges.

Additionally, taxes, levies, and fees related to the adjudication, sale, or transfer of each asset will be borne by the awardees or buyers, who will also assume notarial, registration, and any other expenses related to the disposal. Under no circumstances will the insolvent company bear any cost related to the sale.

Likewise, the buyer shall bear any pending amounts related to Property Tax, urbanization fees, community expenses, and any other unpaid charges levied on the assets.

Court orders for lien cancellation will be issued only by the Court once the Insolvency Administration provides proof of the actual transfer of the assets, and, in the case of privileged assets, the payment to the privileged creditor.

The Insolvency Administration will request the Court to cancel the liens and annotations from both embargoes and the insolvency process. Any resulting costs will be borne by the buyer.

Lot Awarding

At the end of the auction, if the winning bid is equal to or greater than the reserve price, an award confirmation will be sent to the highest bidder with instructions for making the payments within the specified deadlines.

If the bid does not reach the minimum or reserve price, the award must be approved by the Insolvency Administration.

Warning: The Insolvency Administration reserves the right to submit the winning offer to the Court for approval. In such case, only once the offer is approved by the Court will the award confirmation be sent to the highest bidder with instructions for payment.

Participation Mode

To participate in the auction, users must register at www.gobid.es, enter their personal data, request registration for the auction, and accept the terms and conditions.

The data entered at registration will be used for the assignment of the sale, lots, and ownership. All required payments must be made by the registered users. Any powers of attorney will only be considered if authorized by the Principal.

The user must deposit the required amount in the previously specified bank account and indicate the auction number and the lot numbers they wish to participate in, along with proof of transfer sent to info@gobid.es.

The deposit must be credited before the auction ends.

Additionally, to be authorized to participate, the user must send the following documentation to info@gobid.es:

• IF NATURAL PERSON:

  • Copy of valid ID of the person acquiring ownership.

  • If married under a community property regime, the spouse's data must also be provided by sending a copy of their ID (not mandatory for auction access but required in case of award).
    
    

• IF COMPANY OR ENTITY:

  • Copy of the deed of incorporation showing the company's creation and the powers granted to the bidder.

  • Copy of valid ID of the administrator or legal representative.

  • Certified translation of the incorporation deed if the company is not Spanish.

  • Notarized power of attorney if participating through a representative.

Payment Terms

The Buyer’s Premium must be paid in full by bank transfer using the account details provided upon registration or with the award notification (see general auction conditions).

The provisional awardee must pay the full sale price plus VAT (if applicable) into the insolvent company’s account, as indicated in the award confirmation and within the specified timeframe (see general conditions).

Any expenses related to the transfer of ownership, notarial deed, and cancellation of public registry encumbrances must be paid before the sale formalization.
Once all amounts are paid, ownership will be transferred via a notarial deed, as established by the Principal.

Payment Deadlines

The Buyer’s Premium must be paid within 5 days from the award communication.

The sale price must be paid within 10 days from the award communication.

Subject to prior authorization from the Insolvency Administration, the sale price may be paid at the time of the notarial deed.

Transfer of Ownership

The sale will be formalized by public notarial deed under the conditions established by the Insolvency Administration, only after full payment of the award price, Buyer’s Premium, and related expenses. All costs are borne by the awardee.

Formalization must occur within 20 days from the award confirmation, extendable only by the Insolvency Administration.

The Principal will request the Judicial Secretary to cancel any embargoes, liens, or annotations arising from the insolvency through the issuance of court orders. All such costs will be borne by the awardee.

If the highest bidder fails to appear for the signing of the necessary documents, without requiring judicial declaration or summons, the Principal and the Mandate Holder may consider the offer withdrawn. The Buyer’s Premium will be forfeited as compensation.

An administrative fee (maximum €300) will be charged to the awardee for the sale formalization service organized by the Mandate Holder. The exact amount is listed in the lot details under “administrative costs”.

Other Specific Conditions

Buyer’s Premium: The definitive awardee must pay the auction house fees set at 10,00% of the final award price of each lot, plus 21% VAT (if applicable).
The Buyer’s Premium will have a minimum of €500 (plus 21% VAT, if applicable) per lot (minimum commission).

Payment of the Buyer’s Premium is the responsibility of the buyer or awardee, whether or not they are a privileged creditor.

Even a partner, if awarded a lot either through auction or by matching the best offer, must pay the auction house fee like any other awardee.

Award Taxes: VAT or any applicable tax will be applied in accordance with the law and the identity of the awardee.

Extra-Time: If a bid is placed in the last 5 minutes, the auction time is extended by 5 more minutes, and the countdown resets. This will repeat until no bids are placed in the final 5 minutes. In case of maximum offer (proxy bid), automatic increments are also valid for extending the extra-time period.

The sale of goods is made in the condition they are found, both in physical form and legal status.

All costs arising from the sale, including removal, transport, transfer of ownership, notarial deeds, and public registry cancellations, are borne by the buyer.

Buyers of any lot expressly waive any claims regarding the condition of the asset. Ownership is transferred as a "certain body".

No post-sale warranty is provided for non-conformity of the item, and no claims can be made by the buyers.

Therefore, any damages or lack of quality in the goods sold shall not give rise to any extrajudicial or judicial compensation claims.

The Mandate Holder is not liable for any third-party rights over the goods being sold.

The buyer is responsible for verifying the actual condition of the asset for sale.

GOBID ESPAÑA S.L. accepts no liability for errors or inaccuracies in the translation of the texts and materials published on the website.
