Deposit

To participate in the Auction, a specific deposit for each lot is required.

Lot 0 requires a deposit of EUR 0,00.

The deposit must be credited before the end of the Auction.
Only once the deposit is received will the user be authorized to participate in the Auction.

Secured creditors related to real estate in this auction are exempt from making the deposit for lots in which they hold a credit. To participate, they must send an email indicating their status and submit the required documentation, except for the deposit payment receipt.

Users who participated in the Auction but did not win any asset will receive their deposit back within 20 working days from the auction closing date, without interest.
If, after paying the deposit and being awarded the lot, the bidder fails to complete the purchase by paying the sale price and the Buyer’s Premium, the deposit will be retained.
In such case, the award will be assigned to the next highest bidder who submitted an offer equal to or above the reserve price.

Encumbrances and Liens

The sale will be made free of charges and liens, except for domain restrictions, legal obligations, and applicable urban charges.

Taxes, fees, and levies related to the award, sale, or transfer of each asset will be borne by the awardees or buyers, including notarial, registry, and any other expenses related to the transfer, including municipal capital gains. Under no circumstances will the insolvent company bear any costs related to the sale. The buyer shall also bear any unpaid amounts for Property Tax (IBI), urbanization fees, and community charges or other unpaid amounts accrued by the insolvent company on the assets.

IBI and community fees are pending payment, and the exact debt amount is unknown and must be assumed by the buyer.

Discharge orders will only be issued by the Court upon confirmation from the Insolvency Administrator of the actual transfer of ownership.

The Insolvency Administrator will request the Court to cancel registrations and annotations, including embargoes and insolvency proceedings. All related costs shall be borne by the buyer.

Award of lots

At the end of the auction, if the winning bid is equal to or higher than the reserve price, a confirmation of award will be sent to the highest bidder with instructions for making the payments within the deadlines.

If the bid does not reach the reserve price, the award must be approved by the Insolvency Administration.

Warning: the Insolvency Administration reserves the right to submit the winning offer to the Court for approval. In such case, only once the offer is approved by the Court, a confirmation of award will be sent to the highest bidder with instructions for making the payments within the deadlines.

Participation method

To participate in the auction, the user must register on the website www.gobid.es, entering personal data, applying for registration in the auction, and accepting the terms and conditions.

The data entered at the time of registration will be used for the assignment of the sale, the lots, and their ownership. All payments required, before and after the sale, must be made by the registered users. Any power of attorney will be considered only if authorized by the Principal.

The user must pay the required deposit into the bank account specified above.

The user must specify the auction number and the number of the lots they wish to participate in and at the same time send proof of the bank transfer to info@gobid.es.

The deposit must be necessarily credited before the auction ends.

In addition to the deposit, the user must submit the documentation listed below to info@gobid.es to be authorized to participate in the auction:

Payment method

Payment of the Buyer’s Premium must be made entirely by bank transfer using the accounts communicated at the time of registration or together with the award confirmation (see general auction terms).

The provisional awardee must pay into the insolvent company's account, which will be provided at the time of the award confirmation, the full auction price plus VAT (if applicable) within the established period (see general conditions).

Any expenses for the transfer of ownership, notarial deed, and potential cancellation in any public register of charges or liens must be paid before the date set for the formalization of the sale. Once all amounts are paid, the transfer of ownership will be carried out by notarial deed according to the procedures established by the Principal.

Payment deadlines

Payment of the Buyer’s Premium must be made within 10 days from the award confirmation.

Payment of the award price must be made within 20 days from the award confirmation.

It is possible, with prior authorization from the Insolvency Administration, to pay the sale price at the time of formalization of the sale before a notary.

Transfer of ownership

The formalization of the sale of the real estate will be done through a public notarial deed according to the conditions established by the Insolvency Administration, only once the award price, the Buyer’s Premium, and any other purchase-related expenses are paid. All costs will be borne by the awardee.

The formalization must be completed within a maximum of 20 days from the award confirmation, this period may be extended only by the Insolvency Administration.

The Principal will be responsible for requesting the Court Clerk to lift any embargoes, liens, and annotations resulting from the insolvency affecting the transferred assets, by issuing the relevant orders. Any related costs will be borne by the awardees.

If the highest bidder does not appear to sign the necessary documents for the transfer without judicial declaration or express summons, the Representative, in agreement with the Principal, may consider the bidder to have withdrawn their offer. The Buyer’s Premium deposit will be forfeited and retained as compensation.

There will be administrative fees, fully borne by the awardee, to cover the formalization of the sale service, which will be organized by the Representative. The amount of these fees will be detailed in the lot sheet under "administrative expenses".

Other specific conditions

Buyer’s Premium: The final awardee must pay the auction house fee set at: 5,00% on the final award price of each lot, plus 21% VAT (if applicable). The Buyer’s Premium has a minimum amount of 200 euros (plus 21.00% VAT, if applicable) per lot (minimum commission).

The commission (Buyer’s Premium) payment will be charged to the buyer or awardee, whether or not they are a secured creditor.

Assets subject to secured credits

Secured creditors are not required to pay the deposit.

The holder of the secured credit has the option to transfer the award obtained.

The secured creditor, in case of award, must pay the specialized entity's fees.

Award Taxes: VAT and/or any applicable tax according to regulations and the awardee's status will apply.

Bids on the Full Lot: If no bids are received on the full lot (Lot 0), the individual lots will be awarded, provided they received bids, as stated in the “Award of lots” section. If bids are received both on the Full Lot (Lot 0) and individual lots, the Insolvency Administration will decide, at its sole discretion, whether to award the Full Lot or the individual lots based on the values obtained.

Extra-Time: If a bid is placed in the last 5 minutes, the deadline will be extended by 5 more minutes, and the countdown will restart, continuing until no bids are placed in the last 5 minutes of extra-time. In the case of a maximum offer (proxy bid), automatic increments will be considered valid for the extra-time extension.

The sale will be carried out in accordance with the condition of the assets, both physically and legally. Furthermore, the bidder accepts the current registration and urban conditions. It is advisable to visit the lots on sale.

All expenses related to the sale will be borne by the awardee, including removal and transport costs, any ownership transfer costs, notarial deed, and possible cancellation in any public register of charges or liens.

Buyers or awardees of any lot or asset expressly waive any claim regarding the condition of the asset. Interested parties may check the condition of the assets included in the Lots on designated days upon request. Neither the Principal nor GOBID ESPAÑA SL is responsible for the proper functioning, condition, technical inspections, etc. of the lots. The transfer will be made "as is."

No warranty of conformity will apply after the sale, and buyers or interested parties may not claim any compensation.

The Representative disclaims any responsibility regarding third-party rights on the assets sold.

The sale implies that the buyer assumes their own costs and responsibility for verifying the actual conformity of the asset.
