The provisional awardee must deposit into the insolvent company's Account, which will be indicated at the time of sending the award confirmation, the total auction price plus any applicable taxes within the established deadline (see general conditions).
Once all amounts have been paid, the assignment will be formalized according to the conditions established by the Insolvency Administration.
Payment deadlinePayment of the Buyer’s Premium must be made within 5 days from the award communication.
Payment of the award price must be made within one month from the award communication, in accordance with special rules Fourth and Fifth. Exceptionally, the Insolvency Administration may extend this deadline.
The possibility is provided, subject to prior authorization by the Insolvency Administration, of paying the auction price at the time of formalizing the assignment.
Transfer of credit rightsThe formalization of the assignment of the credit rights shall be carried out in a public notarial deed or in a private assignment document, at the choice of the Insolvency Administration and according to the conditions established by the Insolvency Administration, only once the award price and fees (Buyer’s Premium) and other expenses arising from the purchase have been paid, with all costs assumed by the awardee.
Formalization must be carried out within a maximum period of one month from sending the award confirmation, coinciding with the price payment deadline, and this deadline may be extended only by the Insolvency Administration.
In the event that the best bidder designated as awardee does not appear to execute the documents necessary for their transfer without the need for a declaration or express judicial summons, the Agent, in agreement with the Principal, may deem the bidder to have withdrawn their purchase offer. The amount deposited as Buyer's Premium will be forfeited and retained as compensation and, in addition, the deposit paid will be forfeited, becoming part of the insolvency estate's assets.
Administration costs are established, fully assumed by the awardee, intended to cover the sale formalization service, which will be organized by the Agent. Administration costs will have a fixed amount that may not exceed €300 plus applicable taxes; the exact amount is detailed in the corresponding lot sheet under the heading 'administration costs'.
Other specific conditionsBuyer’s Premium: The bidder who is the final awardee must pay the auction house fees set at: 5.00% of the final award price of each lot, plus 21% VAT. Award Taxes: VAT and/or any tax applicable under the regulations and according to the awardee shall apply.
Extra-Time: If in the last 5 minutes any user places a bid, the deadline will be extended by an additional 5-minute period and the countdown will restart, and so on until no offer is made in the last 5 minutes of extra-time. In the case of a maximum bid (proxy bid), automatic increments will be considered valid for extending the extra-time deadline.
Second-best bidder: In anticipation that the best bidder's offer is not ultimately awarded, the Insolvency Administrator may accept offers lower than the best bid submitted in the auction, provided they reach at least 85% of it and do not exceed the best offer submitted during the auction. To be considered a second-best bidder, in addition to the offers submitted during the auction period, new offers may be submitted within a period of no less than two hours and no more than twenty-four hours immediately following the end of the auction. To submit this type of offer, the form attached to the auction page must be completed, according to the instructions detailed therein.
In the event of equal offers, the one received first according to the date and time of its registration in the system shall prevail. The fact that there is a second-best offer that meets the established requirements does not mean that the Insolvency Administrator is obliged to accept it; it may reject it and repeat the auction.
Exclusion of guarantees on receivables: GOBID ESPAÑA SL is not responsible for the existence and legitimacy of the credits subject to sale, nor for the solvency of the obligor, in both cases at the time of the purchase and sale.
The credit rights subject to auction arise from the accounting records of the insolvent company that the insolvency administration has not been able to verify, with the awardee accepting that the insolvent company may ultimately not be the holder of such credits or may be the holder for different amounts and that, likewise, the solvency of the debtors is not guaranteed.
The awardee in all cases and under any circumstance releases the Insolvency Administration from any present or future liability regarding the future payment of the credit rights subject to transfer, with the awardee fully assuming the risk of non-payment.
All expenses caused by the disposal shall be for the account of the awardee, including the costs of formalizing the assignment and, where applicable, the notarial deed.
Any liability of the Agent relating to the existence of third-party rights over the credits subject to sale is excluded.
The sale is carried out with the buyer's obligation to assume its own costs and responsibility for verifying the existence, amount and status of the credits.
Any liability of GOBID ESPAÑA SL arising from errors or inaccuracies in the translation of the texts and material published on the website is excluded.
